3. Intellectual Property

3.2. Client Intellectual Property: Any materials, information, or intellectual property provided by the client for project development remains the property of the client.

3.3. Project Deliverables: Upon full payment, the client receives ownership of the final delivered project, while SoftCurious retains the right to use the project for portfolio and marketing purposes unless otherwise agreed in writing.

4. Project Terms

4.1. Proposals: All project proposals are valid for 30 days from the date of issue.

4.2. Acceptance: A project is considered accepted when the client provides written confirmation and pays the required deposit.

4.3. Changes: Any changes to project scope may result in adjustments to timeline and cost.

4.4. Delays: We are not liable for delays caused by factors beyond our reasonable control.

5. Payment Terms

5.1. Pricing: All prices are quoted in Indian Rupees (INR) unless otherwise specified.

5.2. Payment Schedule: Typically, projects require a 30-50% deposit with the balance due upon completion or according to a milestone schedule.

5.3. Late Payments: Accounts overdue by more than 15 days may be subject to a late fee of 1.5% per month.

5.4. Taxes: All prices are exclusive of applicable taxes, which will be added to invoices as required by law.

6. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary information received during the term of our agreement. This obligation continues for a period of 3 years after termination of the relationship.

7. Warranties and Limitations

7.1. Service Warranty: We warrant that our services will be performed in a professional manner consistent with industry standards.

7.2. Limitation of Liability: Our total liability for any claim related to our services is limited to the amount paid by the client for those specific services.

7.3. No Guarantees: While we strive to deliver optimal results, we cannot guarantee specific outcomes from our services, including search engine rankings or business performance metrics.

8. Third-Party Services

We may use or recommend third-party services, platforms, or tools as part of our service delivery. We are not responsible for the terms, policies, or actions of these third parties.

9. Termination

Either party may terminate a project with written notice if the other party breaches these terms and fails to cure the breach within 14 days of receiving notice. Upon termination, the client agrees to pay for all services rendered up to the termination date.

10. Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Pune, Maharashtra.

11. Changes to Terms

We reserve the right to modify these Terms and Conditions at any time. Changes will be effective immediately upon posting to our website. Your continued use of our services constitutes acceptance of the modified terms.
